Terms of Service

These Terms of Service govern the use of services provided by UPSOFT LLC.
1. Services
UPSOFT LLC provides professional services related to CRM, ERP, telephony, messaging, analytics integrations, and business automation.
We do not develop proprietary software products and do not provide payment processing services.
2. Client Responsibilities
Clients agree to:

• Provide accurate information and required system access
• Use third-party platforms in compliance with their respective terms
• Ensure legal rights to data shared with UPSOFT LLC

3. Payments
Payments are for professional services and project work only.
UPSOFT LLC:

• Does not act as a payment service provider
• Does not store card data
• Does not process payments on behalf of clients

Payment terms are defined in individual agreements or invoices.
4. Intellectual Property
All pre-existing intellectual property remains the property of its respective owner.
Custom configurations and documentation created during a project may be reused by UPSOFT LLC unless otherwise agreed in writing.
5. Limitation of Liability
UPSOFT LLC shall not be liable for indirect, incidental, or consequential damages arising from the use of services.
Our liability is limited to the amount paid for the specific service giving rise to the claim.
6. Termination
Either party may terminate services with written notice in accordance with the agreed project terms.
7. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Wyoming, United States.
